WebAda Solutions Terms of Service

These Terms of Service govern access to and use of WebAda.Solutions, including its website, URL-based accessibility scanning service, previews, reports, downloads, and related services (collectively, the Service).

WebAda.Solutions is operated through Scouts Honor, Another TDC Initiative, from Crystal River, Citrus County, Florida, USA (WebAda, we, us, or our). You and your mean the individual or organization using the Service.

By accessing or using the Service, submitting a URL, requesting a scan, downloading a report, or purchasing an audit, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service for an organization, you represent that you are at least 18 years old, have legal capacity to agree to these Terms, and have authority to bind that organization. In that event, you and your refer to the organization as well as you personally where applicable.

1 Definitions

The following definitions control throughout these Terms.

Automated Finding means one accessibility issue identified by an automated rule for one affected element or occurrence on a successfully processed page. When the same rule affects multiple elements, each separately reported affected element may be a separate Automated Finding.

Manual Review Item means a condition the Service flags for human evaluation because automation cannot reliably determine whether it passes or fails. A Manual Review Item is not an Automated Finding, a confirmed violation, or a Billable Finding.

Billable Finding means an Automated Finding included in the Complete Audit Report and counted by the Service for a displayed per-finding price. Manual Review Items are never Billable Findings.

Scan Scope means up to 100 publicly accessible, same-origin pages and content the Service discovers and successfully processes during a particular scan, subject to the limits described in these Terms.

Complete Audit Report or Report means the full automated report package generated from a completed scan, including a Standard Report, a Technical Report, Automated Findings, and any separate Manual Review Items. It does not mean a fully manual accessibility audit or a legal compliance certification.

Preview means the limited display of up to three selected Automated Findings before a Complete Audit Report is made available or purchased.

2 What WebAda provides

WebAda provides a technology-assisted accessibility auditing service. Depending on the features available when you use it, the Service may accept a website URL, crawl publicly accessible same-origin pages, run automated accessibility checks, display a Preview, identify Manual Review Items, and make a Complete Audit Report available free or for a one-time price.

The Service is designed to report findings associated with selected requirements of the Web Content Accessibility Guidelines, currently including WCAG 2.2 Level A and Level AA checks supported by the Service's testing engine. WCAG is a technical accessibility standard, not a legal certification. Not every WCAG success criterion can be reliably tested by automation.

The interface or a Report may use terms such as violation, issue, or finding. Those labels identify technical output from the Service. They do not, by themselves, establish legal liability, certify conformance, or determine whether a website complies or fails to comply with the Americans with Disabilities Act, Section 508, WCAG, or any other law or standard.

3 Limits of automated auditing

WebAda does not claim to find, locate, test, or explain every accessibility issue. Automated auditing does not replace manual testing by qualified people, assistive-technology testing, user testing, design or content review, or legal advice.

A scan or Report may omit issues, include an item that requires human validation, or produce an item that does not apply in a particular context. Results may be affected by:

You are responsible for reviewing the results, validating whether findings apply, deciding how to prioritize remediation, testing changes, and obtaining appropriate accessibility, engineering, design, or legal advice for your circumstances.

4 Public website scanning

You may submit a URL for a publicly accessible website, including a website you do not own or administer. The Service is intended to retrieve only content that is ordinarily available to the public without a login, password, access token, or other restricted-access credential.

You must not use the Service to access private or restricted systems, internal networks, localhost addresses, cloud metadata endpoints, or other non-public destinations, or to bypass authentication, access controls, security measures, or technical restrictions.

The crawler is intended to remain within the submitted URL's same origin. The number of pages discovered, processed, or reported may differ from the number you expect. A scan may stop, fail, or omit pages because of website configuration, inaccessible content, service-protection limits, network conditions, or technical errors.

5 Free scans and Preview

WebAda may provide an initial scan without charge. Free-scan availability, Scan Scope, queue position, rate limits, and other prospective limits may change.

A Preview may display up to three Automated Findings selected through a consistent, deterministic process intended to provide a useful range of results. A Preview is not a Complete Audit Report. Manual Review Items are separate and are not included in Preview selection.

The presence, absence, or order of an item in a Preview does not mean it is the only issue, the most important issue, or the only issue relevant to accessibility or legal obligations.

6 Free Complete Audit Reports

A scan qualifies for a free Complete Audit Report when it contains five or fewer Automated Findings. Only the Automated Finding count controls this threshold. Manual Review Items do not count toward the threshold and do not increase the price.

A scan containing no Automated Findings and any number of Manual Review Items qualifies for a free Complete Audit Report. A scan containing one to five Automated Findings also qualifies, regardless of the number of Manual Review Items.

WebAda may change the threshold or qualification rule for future scans. The free or paid offer displayed for a completed scan controls that scan and will not be increased after display because of a later pricing change.

7 One time paid Complete Audit Reports

If a scan does not qualify for a free Report, WebAda may offer a one-time paid Complete Audit Report. If per-finding pricing applies, the displayed price is based only on Billable Findings. Manual Review Items are not billed. Any discount, maximum price, minimum price, or other material pricing rule that applies will be shown before purchase.

Before payment, the Service will display the total amount and material purchase terms. By completing the purchase, you authorize the payment provider to charge that amount using the payment method you select. Each purchase is a one-time transaction. Purchasing a Report does not create a recurring subscription or authorize recurring charges.

A Complete Audit Report covers only the Scan Scope and content successfully processed for that scan. It is not a fully manual audit of every page, state, interaction, document, technology, or user experience, and it does not guarantee that every accessibility issue has been found.

8 Standard and Technical Reports

The Standard Report and Technical Report present the same underlying findings at different levels of detail.

Technical information may be omitted when it cannot be determined reliably. WebAda will not knowingly invent unavailable selectors, code, line references, or implementation details.

Remediation suggestions are general informational guidance generated as part of the Report. They are not individualized legal, compliance, engineering, design, or accessibility consulting advice, and they may not be appropriate for every implementation. You are responsible for testing and validating any change before deployment.

9 Report access sharing and license

Subject to these Terms and payment of any applicable amount, WebAda grants you a non-exclusive, worldwide, royalty-free, perpetual license to download, use, reproduce, and share your Report for your internal business purposes and for website remediation, accessibility review, procurement, insurance, financing, a business transaction, compliance discussions, and professional or legal consultation.

The license to a generated Report survives suspension or termination. Suspension or termination may end future use of the Service and access to hosted links, but it does not cancel your license to copies you lawfully downloaded. WebAda will keep each hosted Report available through its non-public Report link for 72 hours after the delivery email is sent. At the end of that period, the link expires and WebAda schedules the hosted Report for permanent deletion without retaining a recoverable copy. You are responsible for downloading and securely retaining both the Standard Report and Technical Report during that 72-hour period.

You may share a Report with employees, contractors, developers, consultants, clients, insurers, advisers, regulators, or legal representatives when reasonably related to a permitted purpose. You are responsible for protecting downloaded Reports and non-public Report links. You may not remove WebAda attribution, sell the Report as a standalone product, or present it as a certification, guarantee, or human audit performed by WebAda.

10 Contact information report links and communications

The Service uses the email address you provide to deliver purchase confirmations, non-public Report links, and related communications. You agree to provide an accurate email address, protect any non-public Report link sent to you, and notify WebAda promptly if you reasonably suspect that a link was accessed without authorization. The Service does not presently require customer accounts or passwords.

WebAda may send transactional communications concerning scan status, Report availability, payment, support, security, or material Service changes. Marketing communications, if any, will be handled under the Privacy Policy and the choices provided with those communications.

11 Acceptable use

You must not, and must not help another person to:

12 Website content and Privacy Policy

You retain any rights you hold in website content you submit. You grant WebAda a limited, non-exclusive, worldwide, royalty-free license to retrieve, process, temporarily store, and otherwise use publicly accessible content from the submitted website only as reasonably necessary to perform the requested scan, generate and deliver the Report, secure and troubleshoot the Service, prevent fraud or abuse, comply with law, and enforce these Terms.

Our Privacy Policy, available at https://webada.solutions/privacy-policy, explains how WebAda handles personal information and scan data and is incorporated into these Terms for those matters. If these Terms conflict with the Privacy Policy about handling personal information, the Privacy Policy controls.

13 WebAda intellectual property and feedback

WebAda and its licensors own the Service, including its software, interfaces, branding, documentation, report templates, organization, rules, methods, know-how, and improvements, excluding your website content and the licensed copy of your Report.

If you voluntarily provide feedback, you grant WebAda a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use it without identifying you, unless the parties agree otherwise in writing.

14 Prices taxes payments and refunds

The price, discount, tax, and material payment terms displayed immediately before purchase control that purchase. Prices may change only for future scans or purchases. WebAda is not responsible for fees charged by your bank, card issuer, payment provider, or currency-conversion service.

Because a Report is a digital product generated for a specific scan, a completed purchase is ordinarily final once a usable Report has been made available. A change of mind, dissatisfaction with accurately presented scan results, or failure to download an available Report does not by itself qualify for a refund.

WebAda will, at its choice, retry delivery, regenerate the Report, or refund the amount paid if payment succeeds but, because of a failure attributable to the Service, no usable Report is made available. You must report the problem to contact@webada.solutions within 24 hours after the delivery email is sent and reasonably cooperate in confirming the failure. If WebAda confirms the failure and cannot provide a usable replacement Report, WebAda will refund the purchase price to the original payment method.

A refund obligation under the preceding paragraph is a return of the purchase price, not damages, and is not excused solely because the underlying service failure arose from an event beyond WebAda's reasonable control. Nothing in this section limits refund or cancellation rights that applicable law does not allow you to waive.

You should promptly notify WebAda of an unauthorized or incorrect charge. A payment dispute does not authorize misuse of the Service or a Report.

15 Availability changes suspension and termination

The Service may be changed, interrupted, delayed, suspended, or discontinued. WebAda may perform maintenance, change testing engines or Report layouts, adjust limits, or remove features. WebAda does not promise uninterrupted or error-free availability or compatibility with every website or device.

WebAda may suspend or terminate access when it reasonably believes use violates these Terms, creates security or legal risk, involves unlawful scanning or attempted access to non-public content, threatens the Service or another person, or exposes WebAda to fraud or abuse. Where reasonably practical, WebAda may provide notice and an opportunity to correct the issue, but it may act immediately when necessary.

If access is suspended or terminated after you paid but before any usable Report is made available, Section 14 applies. If a usable Report was already made available, the Report license in Section 9 survives. Except when earlier removal is reasonably necessary for security, legal compliance, fraud prevention, or a valid deletion request, WebAda will keep the hosted Report available for the 72-hour access period stated in Section 9 and may delete it afterward.

You may stop using the Service at any time. Provisions that by their nature should survive include ownership, licenses already granted, payment obligations, disclaimers, indemnification, liability limits, disputes, and general terms.

16 Third party websites and services

The Service retrieves content from websites and may rely on third-party hosting, infrastructure, payment, email, browser, and other service providers. WebAda does not control third-party websites and is not responsible for their content, security, changes, terms, privacy practices, or failures. A link or integration does not imply endorsement.

17 Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, SCANS, PREVIEWS, REPORTS, AND RELATED CONTENT ARE PROVIDED AS IS AND AS AVAILABLE. WEBADA DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, QUIET ENJOYMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WEBADA DOES NOT WARRANT THAT A SCAN OR REPORT WILL IDENTIFY EVERY ACCESSIBILITY ISSUE; THAT A WEBSITE WILL CONFORM TO WCAG, THE ADA, SECTION 508, OR ANY OTHER STANDARD OR LAW; THAT A SUGGESTED REMEDIATION WILL WORK IN EVERY IMPLEMENTATION; OR THAT USE OF THE SERVICE WILL PREVENT A COMPLAINT, DEMAND LETTER, INVESTIGATION, ENFORCEMENT ACTION, CLAIM, OR LAWSUIT. WEBADA DOES NOT PROVIDE LEGAL, COMPLIANCE, ENGINEERING, DESIGN, OR OTHER PROFESSIONAL ADVICE.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

18 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBADA AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF WEBADA AND THOSE PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO A PARTICULAR SCAN, REPORT, THE SERVICE, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WEBADA FOR THE SPECIFIC REPORT OR TRANSACTION GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) 100 U.S. DOLLARS.

THE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY TO LIABILITY THAT APPLICABLE LAW DOES NOT ALLOW TO BE LIMITED OR EXCLUDED.

19 Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless WebAda and its owners, officers, employees, contractors, licensors, and service providers from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees to the extent arising from:

This section does not require you to indemnify WebAda for a claim to the extent caused by WebAda's own violation of law, willful misconduct, or gross negligence. WebAda will give reasonably prompt notice of a covered claim, except that delay relieves your obligation only to the extent it materially prejudices the defense. WebAda may control the defense with counsel of its choice, and you will reasonably cooperate. WebAda will not settle a claim in a way that admits your fault or imposes a non-monetary obligation on you without your consent, which you may not unreasonably withhold.

20 Governing law and disputes

Before filing a lawsuit, a party must send written notice describing the dispute and requested resolution to the other party and allow 30 days for good-faith informal resolution. This requirement does not prevent either party from seeking urgent temporary or injunctive relief or filing in small claims court before a limitation period expires.

These Terms and disputes arising from them or the Service are governed by Florida law, without regard to conflict-of-law principles. Any court proceeding must be brought in a state court located in Citrus County, Florida, or, when federal subject-matter jurisdiction exists, the United States District Court serving Citrus County, Florida. Each party consents to those courts' personal jurisdiction and venue. Either party may bring an eligible individual claim in small claims court.

EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW. Nothing in these Terms requires arbitration or waives a right to participate in a class proceeding where such a waiver would require separate treatment or additional owner approval.

21 Changes to these Terms

WebAda may revise these Terms prospectively. Revised Terms will be posted with a new Last updated date. If a change materially affects your rights or obligations, WebAda will provide notice required by law before the change becomes effective.

The version accepted when you purchase a Report governs that purchase and the license, refund rights, liability terms, and dispute provisions attached to it. Revised Terms govern later scans, purchases, and continued use after their effective date. A revision will not retroactively reduce rights already granted for a completed purchase unless applicable law permits the change and you expressly agree to it.

22 General terms

These Terms, the Privacy Policy, and any purchase terms displayed and accepted at checkout form the entire agreement concerning the Service. If checkout terms conflict with these Terms about a specific purchase, the checkout terms control that purchase. The Privacy Policy controls only as stated in Section 12.

If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. A waiver must be in writing and signed by the waiving party.

You may not assign these Terms without WebAda's prior written consent, except with a merger, reorganization, or sale of substantially all relevant assets. WebAda may assign these Terms to an affiliate or successor or in connection with such a transaction.

Neither party is liable for delay or failure caused by events beyond its reasonable control, except obligations to pay amounts already due and WebAda's express refund obligation under Section 14. Nothing in these Terms creates an agency, partnership, joint venture, employment, or fiduciary relationship.

Section headings are for convenience only. The words including and include mean including without limitation. Electronic acceptance, records, and communications may be used to the extent permitted by applicable law.

Nothing in these Terms limits WebAda's right to seek remedies available under applicable law for fraud, impersonation, infringement, fabricated evidence, or a knowingly false statement of material fact. This sentence does not prohibit or restrict a truthful consumer review, an honestly held opinion, a good-faith complaint, or any communication protected by applicable law.

23 Contact and legal notices

Questions, support requests, payment concerns, refund requests, and legal notices should be sent to:

Email: contact@webada.solutions

Location: Crystal River, Citrus County, Florida, USA

A legal notice sent by email is effective only when WebAda sends a non-automated acknowledgment of receipt. WebAda may send notices to the most recent email address you provided. Either party may update its notice address by written notice.
